Terms of Service

These Terms of Service ("Terms") govern your use of the Forgekind platform, website (forgekind.com), and related services (collectively, the "Service") provided by Ngaspy LLC ("Company," "we," "us," or "our"), a Florida limited liability company.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Forgekind is an AI-powered operating system for residential construction companies. The Service connects to third-party project management platforms (such as JobTread, Buildertrend, CoConstruct, and others) via their APIs to automate estimating, proposal generation, scheduling, billing monitoring, and related operational tasks using artificial intelligence agents.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent. By using the Service, you represent that you meet these requirements.

3. Account and Access

To use the Service, you must provide accurate and complete information during onboarding, including credentials to connect your project management platform. You are responsible for maintaining the security of your account and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Subscription and Payment

The Service is provided on a monthly subscription basis. Fees are based on your selected plan (Growth, Scale, or Enterprise) and are billed monthly in advance. All fees are in U.S. dollars. Prices are subject to change with 30 days' written notice. No refunds are provided for partial months of service.

5. Cancellation

You may cancel your subscription at any time with 30 days' written notice. Upon cancellation, your access to the Service will continue until the end of your current billing period. Your data in your project management platform remains yours and is not affected by cancellation. We will provide an export of any Forgekind-specific data (learning patterns, correction history, reports) upon request before account closure.

6. Your Data

You retain all ownership rights to your data. We do not claim ownership of any data you provide or that is accessed through your connected project management platform. We access your data solely to provide the Service. We do not sell, share, or use your data for any purpose other than delivering and improving the Service for your account.

7. Read-Only Access

By default, the Service connects to your project management platform with read-only access. Write operations (such as pushing budgets, creating proposals, or posting comments) are only performed with your explicit authorization and are subject to human review through the "sanity gate" system.

8. AI-Generated Outputs

The Service uses artificial intelligence to generate budgets, proposals, schedules, and other outputs. All AI-generated outputs are subject to human review before being finalized or sent to clients. We do not guarantee the accuracy, completeness, or suitability of any AI-generated output. You are responsible for reviewing and approving all outputs before use.

9. Third-Party Integrations

The Service integrates with third-party platforms (project management tools, recording services, calendar applications). We are not responsible for the availability, accuracy, or security of third-party services. Your use of third-party services is governed by their respective terms of service and privacy policies.

The Service, including its software, design, features, and documentation, is owned by Ngaspy LLC and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during the subscription term.

12. Limitation of Liability

To the maximum extent permitted by law, Ngaspy LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

14. Indemnification

You agree to indemnify and hold harmless Ngaspy LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

16. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Miami-Dade County, Florida.
